Welcome to the Make Technology 1SS Platform ("1SS Platform", "Platform", "Service"). These Terms and Conditions ("Terms") govern your access to and use of our internal project management and proposal tracking platform. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

1. Acceptance of Terms

By creating an account, accessing, or using the 1SS Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Make Technology.

Important: If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility and Account Registration

2.1 Eligibility

The Platform is intended for use by authorized employees, contractors, and partners of Make Technology. You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Platform.

2.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring your account information is accurate and up-to-date
  • Complying with your organization's security policies

2.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, security concerns, or at the request of your organization's administrator.

3. Permitted Use

You may use the Platform solely for legitimate business purposes related to:

  • Project management and tracking
  • Proposal creation, submission, and pipeline management
  • Team collaboration and communication
  • Document generation and management
  • Leads forecasting and conversion tracking
  • Activity logging and reporting
  • Integration with approved third-party services (e.g., Jira)

4. Prohibited Activities

You agree not to:

    Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations

    Access or attempt to access accounts, data, or systems you are not authorized to access

    Interfere with or disrupt the Platform's operation, servers, or networks

    Introduce viruses, malware, or any malicious code

    Attempt to reverse engineer, decompile, or disassemble any part of the Platform

    Use automated systems (bots, scrapers) to access the Platform without authorization

    Share confidential or proprietary information outside authorized channels
  • •
    Impersonate another user or provide false information
  • •
    Remove, obscure, or alter any proprietary notices or labels
  • •
    Use the Platform to transmit spam, chain letters, or unsolicited communications

Warning: Violation of these prohibitions may result in immediate account termination, legal action, and notification to law enforcement authorities.

5. Intellectual Property Rights

5.1 Platform Ownership

The Platform, including all software, code, designs, graphics, interfaces, and documentation, is owned by Make Technology and protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.

5.2 User Content

You retain ownership of content you create or upload to the Platform (proposals, project data, documents, etc.). By using the Platform, you grant Make Technology a limited, non-exclusive license to:

  • Store, process, and display your content to provide the Service
  • Create backups and ensure data redundancy
  • Generate analytics and insights (in aggregated, anonymized form)
  • Comply with legal obligations

5.3 Trademarks

"Make Technology", "1SS Platform", and associated logos are trademarks of Make Technology. You may not use these marks without prior written permission.

6. Data and Privacy

Our collection, use, and protection of your personal information is governed by our Privacy Policy. By using the Platform, you consent to our data practices as described in the Privacy Policy.

7. Third-Party Integrations

The Platform integrates with third-party services such as Jira and SSO authentication providers. Your use of these integrations is subject to:

  • The terms and conditions of those third-party services
  • Your organization's policies regarding third-party integrations
  • Our authorization and security requirements

We are not responsible for the availability, functionality, or security of third-party services. Any issues with integrated services should be directed to the respective service provider.

8. Service Availability and Modifications

8.1 Availability

We strive to maintain high availability of the Platform but do not guarantee uninterrupted access. The Platform may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. We may add new features, remove existing features, or change functionality as needed to improve the Service.

8.3 Scheduled Maintenance

We will make reasonable efforts to notify users of scheduled maintenance windows that may affect Platform availability. Emergency maintenance may be performed without advance notice.

9. Disclaimers and Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

To the fullest extent permitted by law, Make Technology disclaims all warranties, express or implied, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding accuracy, reliability, or completeness of content
  • Warranties that the Platform will be error-free, secure, or uninterrupted
  • Warranties that defects will be corrected
  • Warranties regarding third-party integrations or services

You acknowledge that your use of the Platform is at your own risk. We do not warrant that the Platform will meet your specific requirements or expectations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Make Technology, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption
  • Loss of goodwill or reputation
  • Cost of substitute services
  • Any other intangible losses

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and whether or not we have been advised of the possibility of such damages.

Maximum Liability: In no event shall our total liability to you for all claims exceed the amount paid by your organization for access to the Platform in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Make Technology, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Platform
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations
  • Content you submit, post, or transmit through the Platform
  • Your negligence or willful misconduct

12. Dispute Resolution

12.1 Informal Resolution

Before initiating formal dispute resolution, you agree to contact us at legal@maketechnology.com to attempt to resolve the dispute informally. We will work in good faith to resolve disputes amicably.

12.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

12.3 Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in Makati City, Metro Manila, Philippines. You consent to the personal jurisdiction of such courts.

12.4 Arbitration

For disputes that cannot be resolved informally, both parties agree to submit to binding arbitration under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI). The arbitration shall be conducted in English in Makati City, Philippines.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page
  • Notify users through the Platform or via email
  • Provide a reasonable notice period before changes take effect

Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of the Platform.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Make Technology regarding the Platform and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

14.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

14.6 Survival

Provisions that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution.

By using the 1SS Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. You also acknowledge that you have read and understood our Privacy Policy and consent to our data practices as described therein.
